Zandiant Technologies Completes Spin-Off from Clarion

Lake Forest, California - (April 2, 2001)

Zandiant Technologies, formerly known as Clarion Advanced Technology Corporation, completed its spin-off from Clarion Company Ltd., an international automotive electronics organization. The spin-off will enable Zandiant to expand its engineering capabilities by offering its hardware, software and systems development expertise to a wide range of customers.

Zandiant's engineering accomplishments have led to the development of the industry's first in-vehicle computing system capable of everything from voice-recognized command/control to DVD entertainment. Zandiant designed the Citroën AutoPC and the Clarion Joyride systems, bringing the power of integrated information, entertainment and communication into the automobile.

Albert Wong, the founder of AST Research, will continue to serve as president and chief executive officer of Zandiant. The company will begin offering stock options to all of its full-time employees.
